1. Agreement & Scope of Services

By accessing this website or engaging Astra Digital Solutions (ABN: 30 456 318 638, "we", "us", "our") to deliver digital marketing, website care, search engine optimisation (SEO), or website design services, you agree to comply with and be bound by these Terms and Conditions.

These Terms, together with any signed Project Proposal or Service Level Agreement (SLA), govern our relationship with you.

2. Payment Terms, Fees & Deposits

  • One-Time Website Builds: Requires a 50% deposit before design work begins, with the remaining 50% balance due upon site completion but prior to server deployment.
  • Recurring Services (Care & Marketing Plans): Invoiced monthly in advance. Payments are automatically processed on your monthly cycle.
  • Default & Suspending Service: If recurring invoices remain unpaid for more than 14 days, we reserve the right to suspend support or website hosting until the outstanding balance is cleared.

3. Intellectual Property & Asset Ownership

Upon clearing all outstanding project balance payments, we transfer 100% ownership rights of the custom-coded front-end files, visual layouts, content, and website resources to you.

We retain the intellectual property rights to our proprietary code templates, core software frameworks, and developer workflows created prior to or during the project.

4. Limitation of Liability & Disclaimers

Our services come with consumer guarantees that cannot be excluded under the Competition and Consumer Act 2010 (Cth) and Australian Consumer Law (ACL).

Subject to these guarantees:

  • We make no guarantees regarding exact search ranking spots, click-through rates, or customer conversions, as search engine algorithm formulas are proprietary and change frequently.
  • We are not responsible for website downtime, loss of data, security compromises, or policy changes initiated by external third-party entities (e.g., third-party global hosting networks, domain registers, or Meta/Google ad networks).

5. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of New South Wales (NSW), Australia. You irrevocably submit to the exclusive jurisdiction of the courts of NSW for resolving any disputes arising under this agreement.
